If I download trial version of VV will it cause problems with VF

No, it shouldn't cause any problems. I had VF then the trial of VV3, then I bought VV3 and still had VF and then I upgraded to V4. VF has always been on my system and has continued to work.

Quite the opposite, installing a copy of the Vegas actually fixes some Video Factory problems (mainly by updating the Mainconcept MPEG plugin).
