Export to Avid DNxHD. It's a free install on both platforms and provides a true cross platform codec. Pick the bitrate and bit depth accordingly and you're good to go. If needed, export out an EDL or AAF file from FCP.

As long as you have a recent version of QuickTime installed on your computer, Vegas can read a ProRes file.
It can't export one though so Cliff's suggestion is good if you have to send it back to FCP.
