Hey Dude,

We're all going to over to the Vegas group eventually. I've been here for a while and the turnover rate is like 100%. I'd be there right now if I didn't seriously overextend myself on this DV cam.

Maybe the best way to answer is how much do you want to get out of your video editing? Vegas offers far more control so you can do more and usually better, generally faster. Just having unlimited tracks for video and audio can make a big difference if you have a lot of clips and want each to be fine tuned which is difficult and sometimes impossible in Video Factory. While it is a pretty big download for a dial-up connection, 8MB or so, you could download the 363 page PDF manual for Vegas and see what the added/improved features are. To put it another way the difference between Video Factory and Vegas Video is like comparing an economy car to a high end sports car. Both get you from point A to point B, but the sports car is both more powerful and fun. So to with VF verses VV. I'm glad I upgraded.
