Both programs offer many similar features.
In my opinion, MS is better regarding the audio editing possibilities.
I chose MS because you can visualize the audio waves of the video track with precision (and edit precisely at the point where the wave crosses the 0 level).
Others may prefer CLE2, because you have more tracks...

Just out of curiosity, why is cutting at the zero crossing so important in a video editor? I understand the requirement in audio editing - I suppose I'm asking why the audio is more important .

Yes, I know, but that's forcing the video to split at an arbitrary point - it's no big deal, I'm just curious :-). I tend to use short dissolves between clips, so noise has never been an issue for me.
