While the media is online the files are locked at the system level. That means nothing else can access them. The downside to having them go offline is Vegas rebuilds the thumbnails and waveforms when it gets focus back and puts the media online.
Difficult call. If you're using other apps such as SF that are going to access the media then you need it to go offline when Vegas looses focus. On the other hand if the other apps aren't accessing the files then I'd set it to not set the media offline so you avoid the wait when Vegas does get focus back. If you haven't got a lot of media in the project it really doesn't matter much at all. If you've got a lot of HD it can be quite a wait when Vegas gets focus back again.
On small trap. Any media that Vegas has in the project media bucket is locked even if it's not on the timeline. That catches me out regularly.

What's even more annoying (and difficult to understand) is that - after I use Device Explorer to import all clips into the media bin from my SxS card - I cannot delete the clips from the card as long as Vegas is open (navigating Device Explorer away from the card isn't enough)!
Locking their imported copies yes, but why not releases their source?
Other interest to have media offline : not only with SF. If you work with still images in your project, you can modify them with photoshop (or other) and when you return in VP, the changes appear in timeline.
Works same with nested projects : if you open a nested project, modify it and save it, changes are real only if media where offline.
Yes, Vegas, and the project media window specifically, are way too grabby. I'd dearly love to have an option in which, if a piece of media is not on the timeline, then Vegas doesn't even know it exists. It seems that Vegas is always adding more files to my project media list without my authorization and in many times without my knowledge. Since i never, *ever* have the project media window open by choice, this often catches me. I've gotten to the point now where i click "clean project media" almost with the regularity of a nervous twitch.
Yeah, if i could turn off project media, or at least have a switch that would only include what's on the timeline, i'd freeze those options in place for the rest of eternity.

So I "said" that :
1) you have a nested project ina .veg file
2) you "open the (nested) project in vegas" with right-clic on this event.
3) you make modifications as you want
4) save it and return to the parent project.
Now, look at the nested project's event :
a) if the parent project preference were making "media offline", you can see the modifications in the nested event
b) if preference were keeping media online, the nested event seems exactly the same than before you edit the nested file.
