It should be fine just adding your serial number to the demo.

I (personaly) prefer the "retail" versions. They come with a shortcut card & a reference guide. VERY handy (most questios on this forum can be asnwered with those two things!) :)

You still have to register it though.

The RETAIL version does have a few extra 'goodies' like TheHappyFriar said. What I did was install from the web and ordered a boxed version. The trial lasts 30 days which is way more than enough time to recieve your package so you can be editing all the while. When you recieve your box of goodies you can drop your serial# right into it and continue. The version that shipped in my box was 5.0 and my download was 5.0a so when I tried to install from the disc it said it was an older version and would not install anyway. The web usually has the latest version. It's no telling what version will ship with your box as that just depends on when they packaged it. Your ordering the Boxed/Retail version just to get the 'goodies' FRIAR mentioned. Plus it looks really cool for someone to walk into your studio and just see your software box(es). I have mine lined up so people can see my 'arsenal' of tools.

It seems his boxed version HAS arrived, so I guess he also decided the boxed version was better.
He just wants to know if he should uninstall the demo, which is 5b, and download the 5b update and enter his serial number in that.
I think the demo is a fully functioning Vegas as soon as you enter your serial number.
That's why I recommended he just enters his serial number in the 5b demo.

Also, very important, do not forget to REGISTER your software!
Mine is registered, which buys me peace of mind everytime I have needed to reinstall for some reason. I'm getting my new PC put together next week, which means new computer ID. Being registered, I won't have any problem getting everything re-installed/re-registered again.
