Try this, go into your preferences and take your available ram given to vegas and change it to 16mb or something like that. Try to render again. If this doesn't work also try to bump up your virtual memory to whatever you RAM is x 2. It is also a good idea to have virtual memory on 2 seperate drives, keep some on your C (500 mb or so) drive and put the rest on a drive that you might not do video on, like a partitioned drive or an external drive etc.

I had a mempry problem recently similar to yours that told me that Vegas 5 was out of memory.
When I changed my RAM allotment in Vegas preferences from 1190 MB (I have 2 GB.) to 20 mb, then my problem was fixed.
It seems that RAM usage is only needed for previewing video and if you have alot of memory alotted to Vegas when you render, then that memory is still being used by Vegas as it never releases it, and you loose available memory.
