I work ALLOT with music software and recording but I notice something last night that kindda threw me off a bit. Still have no answer for it....nor fix.

I loaded up a MP3 File of a tune my band did and when I play it through Vegas 5 ...it was no where near the volume it should be. Matter of Fact, my volume knob on the keyboard would not effect it and if I up'd the track volume or master in vegas, it clips. I know for a fact this is a mastered Wav converted to Mp3.

What gives?
Is there something I need to do in Vegas to correct this?
Do I need to tweak some prefs anywhere?

You could try putting the cursor at the beginning of the timeline, right click and select events to end, then right click switches and choose normalize.
In the audio track header click on the green bar and lower the volumes in the compressor until it doesn't clip anymore. Use the reset button every time you test it. Try to get it to peak just below zero.

Is the only thing you have to work with an MP3 file? Nothing better?
