TMPGEnc 5

TMPGEnc have previously been a nice stable Mpeg encoder, and if I recall, people here were complaining when TMPGEnc Express 4.0 came out, as some of the features needed for encoding from a frameserver were gone.

Now "TMPGEnc Video Mastering Works 5" is out, and from what I can tell, seen from a pure encoder point of viewpoint things are going from bad to worse, it looks like Pegasys wants to be an NLE.

Does anyone have any input on if it is worth the upgrade price from 4.0 or if this is the time to get off THAT train(wreck?).

As you must already have some recent version of Vegas, there is little reason to upgrade to VMW5.

The only reason that you might want to upgrade is that VMW5 has the legitimately fast nVidia CUDA h264 encoder. When combined with Debugmode Frameserver, you can frameserve out of Vegas and into VMW5 for quicker encoding.
