vegas 8 32 bit and upgrading system

I have vegas 8 32 bit. Was thinking of going 7 core ,12 gigs of ram, win 7 64 bit. Would it slows things down or speed things up? Your thoughts.

My system

winxp sp3
quad core 9400
4 gig of ram
2 raptor drives as c and the rendering drive.
1 wd 7200rpm 1tb hd for content.

would it be faster than this? Or Am I wasting money?
