Vegas mp4 vs Quicktime

I just rendered my latest project in 480 x 360 mp4 format using both Vegas 6d and Quicktime Pro. Unfortunately, the Quicktime render looks quite a bit better. I tried a number of different settings but couldn't get close to the same quality using Vegas. Does anybody have any ideas of some tweak or other I might be missing to get a little better mp4 render from Vegas?

Please post the exact settings that you used for both the QT Pro render and the Vegas render (framerate, bitrate, compression, profile etc etc).

I started out just using the default settings on both programs. On Vegas I selected all the best quality settings and checked the tab for a two pass render. For Quicktime I had to render to a standard DV file first. Framerate was 30p with a blend fields deinterlace. I used the Main Concepts rather than the Sony mp4 so that I could get a higher quality two pass render. Bitrates were the same on both programs. I'm sort of suspicious that Vegas isn't actually doing a two pass render when I check that tab. I see the image previewing right from the start rather than half way through the render like one would expect on a two pass render.
