Best Path to covert 32 kHz dv to 48kHz AC3?

I'm putting some DV footage recorded in 32 kHz audio onto DVD. I'm going to eventually convert the audio to 48 kHz AC-3 stereo using Vegas. Would I get better quality if I first convert it to a 48 kHz wave with Sound Forge and then encode it to AC-3 or should I just encode to 48 kHz AC-3 in Vegas?

I'm not a SOund Forge user but there are several in here you'll get response from. I would guess that both apps use the same process to do the conversion though so I wouldn't expect much difference.
