Ralph there can only be 2 things going wrong

open up a new project place the PNG on a track can you see it? if you can then the PNG is OK = check

Why would your avi be causing the problem ?. Do the same with your avi = check = OK

If both are OK then check your level sliders = 100

Anything other than that is paranormal

In fact what brighterside suggested works for me. I always set my PNG’s on the top track of my video media because it is simpler
And especially if the cues are coming from the avi track for example I get clips from abroad and have to change the logos or branding and text
Then I want the avi visible at all times so I can match the PNG’s and the motion, color etc so by dropping the opacity of the PNG's while working everything times out and when finished put it full to check and render

If your PNG’s are on the bottom it would be a nightmare to accomplish the above task

If I was having a paranormal moment place a solid black on top with fade and the png on top of that

Whilst I agree it should just work and the order shoudn't matter it can really help when reporting an issue to know the precise details of the steps to repo the problem. mp4 files can contain almost anything and the problem might be totally dependant on what they contain. Vegas has two ways of creating mp4 files and they do not produce the same files.
