I'm posting this so other users with a similar problem may have a solution to this problem.
I purchased the Vegas 6.0 upgrade from 5.0 and proceeded with the install. Vegas 6.0 installed successfully. Sony Media Manager installed successfully. The Microsoft SQL Desktop Engine (MSDE) failed to install.
There were no error messages that MSDE failed. You would notice that during the install process the MDSE installer progress window would count down to 4-6 seconds remaining, the window would dim out, the progress would count to 0, then the progress bar would go backwards. MSDE had encountered an error and was uninstalling it's components.
I searched this knowledge base and the only help I found described uninstalling everything, disabling apps (virus scanner, registery performance tools, et..) and cleaning folders/registry entries. This did not solve the problem. I sent this to Sony Media Customer support after much google/microsoft knowlegebase probing:
I located the reason why the Microsoft SQL Desktop Engine would not install. The error log file (i.e. c:\program files\sony\shared plug-ins\ Media Manager\msdesetup.log) for the Sony Media Manager install showed a failure of:
Starting custom action InstallPerfMon
Registering performance counters from sqlctr.ini
PerfmonLoad routine returned error code 6
Action ended 2:06:46: InstallFinalize. Return value 3.
Searching Microsoft's Knowledgebase I found the following articles:

The first article indicates the failure for the MSDE install is a corruption in the registration of the Performance Monitor Counters.
The second article describes the method to manually restore the Performance Monitor counters to their original state.
After completing the Performance Monitor restore I reinstalled the Sony Vegas 6.0c w/Media Manager and MSDE and it completed successfully.
Someone may want to put this into a Sony Vegas knowledgebase article if others run into a similar problem.
