If you are wanting to transition between the two where it appears that clip 2 is puching clip one off the screen, I think it is one of the standard transitions. I can not remember the name but I am sure someone will. I think it is a push or a slide?

Ok, I guess I'm confused. When I hold down CTRL and ALT and then drag the transition, I *AM* seeing the last frame of clip 1 and the first frame of clip 2. What am I not understanding?

You're wanting an actual transition instead of wanting to ADJUST a transition?

when you hold down ctrl +alt and drag right or left you are still seeing just clip1,
its the same as just alt and drag, only with ctrl also pushed its now moving that clip along the timeline...

i want to see the end of clip one and the start of clip2.. and be able to line them up accordingly...
and if the clips are only partial, lets say clip one is 1 minute long, but we are just using the footage from 00:20 to 00:30 and with clip 2 the same time...
i want to be able to roll the 00:30 second mark of clip one and the 00:20 second mark of clip 2 accordingly...

so now when im down, have it be 00:20 to 00:35 of clip one, and 00:24 to 00:30 of clip 2

does that make sense?

anyone out there use AVID at all.. you will know what im talking about

parking the cursor between two clips/ out point of clip 1 and in point of clip two, I get a rolling edit just like I do with Avid when I hold CTRL+ALT and scrub between the two. I get a left window view of the last/ending frame of clip one and a right window view of clip two's first frame. If you're not seeing this, I'd be confused.

Nope. When I hold down CTRL+ALT and drag the transition, I see clip ONE on the LEFT half of the preview screen and clip TWO on the RIGHT half of the preview screen. Just tested it again in both Vegas 5 and Vegas 6.
