timecode fade

I have created a 5 min. time code avi. I incert it into a project and use a velocity env to reverse the timesode to count down. I want to be able to have the time code fade in and out during the countdown at various points of the 5 minutes. What is the best way of doing this?

Insert generated media that is blank. Insert timecode to generated media in the Media Pool.
Insert Compositing envelope on the track containing timecode.
Insert envelope points/handles where you want T/C to go transparent.
Drag down envelope between points where you want T/C to go transparent.
