I just tried it. I created a .vf project file in VideoFactory 2.0c, saved it, and opened it in Vegas 4.0 without a hitch. When you save the project in Vegas it will be a .veg file. These .veg files cannot be opened in VideoFactory again, but you'll still have the original .vf file.

Same here. I upgraded to Vegas 3 in the middle of a project last year and it just loaded my VideoFactory project and kept on going. I was very impressed.
