I have heard of other such reports for large h.264 video and Vegas. Convert to a lossless AVI format, such as Cineform NeoSCENE trial version, and retry.

Although an excellent product, GoPro HD files have a history of problems in Vegas. You can try a simple remux in AVIDemux. Otherwise, the suggestion of an intermediate codec is your best option.

Thanks Cineform took care of the problem although I don't know if I really want to spend another $129 just to make the file editable in VMS 10. I've tried a few of the other freeware programs to convert the file to AVI but they either crash or can't complete the task with that file size. Otherwise files of 3.15gb open in Vegas with no problem. Only other option I guess is to limit length of recordings. Issue here is I'm recording rides/routes on a motorcycle and although the GO PRO HD is well suited for this turning the camera on and off while riding isn't a great option. Will have to think on this more. Otherwise the upgrade to VMS 10 was worth it
Thanks to all again for imput.

The pros over at VASST use GoPro HD in their work, and they are also very much into the Vegas side of things. A post in the creativecow.net Vegas forums might get you some more detailed suggestions from them.

You don't have to use buy Cineform. It's just that Cineform has the best codec on a number of ways, and the easiest conversion utility. There's always Avid DNxHD and Matrox mpeg2 AVI that do the same job as Cineform, and they're free. This is suitable for your case too: http://eugenia.gnomefiles.org/2010/03/14/starting-up-with-a-dslr-and-sony-vegas/

Well I was thinking that maybe there might be an issue with the file. I downloaded Cineform trial and everything went fine but it converted only have the file. I'm thinking ummm didn't play the video all the way thru time to check out the whole video. Ah Ha
Half 2/3's of the way thru play off of the actual SDHC card started getting all types of interference and issues. I then clear the card and shot another video same basic length and tried to import into VMS10 and no problems. So the whole issue was actually the last half or so of the video got corrupted hence it wouldn't import into Vegas. Cineform if great etc. I think and converts files to AV wicked fast but for $129 I'd rather invest in other stuff.
Thanks all for the help though.
By the way other than this time I've never had issues with the GoProHD camera and Vegas before. Earlier versions yes file size was issue but they fixed it earlier in Vegas Pro 9 update and of course VMS10.
