Proper netiquette is not using CAPS. That is like shouting at someone. Posting your problem in a clear and concise manner is better. We are a user to user support forum and do not work for VEGAS or Magix. So any help is fully voluntary.
Have you tried resetting Vegas? Here is how:
Hold down CTRL+SHIFT and then double click on the Vegas desktop shortcut. A message pop up asking to Delete all cached application data. Check the box and then click on Yes. The cache should be cleared, and Vegas will be reset to its default settings.
Report back success or failure. You might have to re-install.

Did you contact support?
Could there be a firewall blocking the activation? Have you tried using a different internet connection?
...or even a VPN?
