Is the error code actually 'Error - 2147163964' (with a 1 between 7 and 6)? If yes, do a Google search and you'll find a number of issues about this with different Sony Creative Software products mostly with different possible solutions (or none). One suggestion was that the installer was corrupted. If this might apply to your situation, go to your MAGIX My Account and under the My Products listing, find your VMSP13 entry and download its installer from there.

Re older versions of Vegas than 14.0 the following may or may not apply to your issue: "...after an unspecified number of installations on different or updated PCs you may need to contact support to reset your "installation count". Advice here.
